The P2P API User Agreement (the “Agreement”) governs your access to and use of the application programming interface (“API”) provided by OKX (collectively, the “Service”). This Agreement is entered into between you (“you” or “user”) and the applicable OKX entity based on your residency and registration date:
- Aux Cayes FinTech Co. Ltd, a Seychelles-registered company, for all users not covered by other designated entities.
- OKX Bahamas FinTech Company Limited, for users who are residents of Mexico and registered between November 16, 2022, and August 28, 2023, or institutional users registered on or after August 29, 2023.
- OKCoin Europe LTD, operating under the OKX brand in the European Economic Area.
- OKX Middle East Fintech FZE, serving users who are residents of the UAE.
By accessing or using the API, you confirm that you have read, understood, and agreed to this Agreement, including any future amendments. If you do not agree, you must discontinue use of the Service immediately.
This Agreement works in conjunction with the OKX Terms of Service, Privacy Notice, and other policies published on www.OKX.com (collectively, the “Platform Terms”). In the event of any conflict, the terms of this Agreement will take precedence. All other provisions of the Platform Terms remain in full effect unless explicitly modified herein.

The Service enables developers and counterparty applications to connect with OKX’s platform through an API interface. This allows for streamlined integration of select functionalities, supporting innovation while maintaining security and compliance.

License Terms
Authorized Use Only
You are granted a limited, non-exclusive license to use the Service solely for your own purposes under this Agreement. Redistribution, resale, or unauthorized dissemination of the API is strictly prohibited.
No Guarantee of Data Accuracy
You acknowledge that OKX does not guarantee the stability, accuracy, or completeness of data transmitted via the API. OKX disclaims all liability arising from data inconsistencies or service interruptions.
Fees and Payment
Currently, there are no fees associated with using the P2P API. However, OKX reserves the right to introduce or modify fee structures at its sole discretion. Any changes will be communicated in accordance with this Agreement.
If you subscribe to a paid service tier in the future:
- Renewal implies acceptance of updated pricing, specifications, or terms.
- Failure to accept new terms will result in automatic termination of service upon expiration of your current subscription.
OKX may suspend or terminate access to the Service if fees remain unpaid.
User Responsibilities
Compliance with Laws
You agree to use the Service in compliance with all applicable laws and regulations. Your usage must not infringe upon third-party rights or facilitate illegal activities.
Timely Payments
Failure to pay applicable fees may result in immediate suspension of API access. You bear full responsibility for any consequences resulting from service interruption due to non-payment.
Prohibited Activities
You must not:
- Reverse engineer, decompile, or disassemble the API.
- Attempt unauthorized access through stolen credentials or system vulnerabilities.
- Conduct actions that degrade performance, such as excessive API calls beyond reasonable rate limits.
All users must be explicitly whitelisted by OKX. Unauthorized use constitutes a material breach of this Agreement.

Disclaimer of Warranties and Limitation of Liability
As-Is Basis
The Service is provided “as is,” “with all defects,” and “as available.” OKX makes no warranties—express or implied—regarding performance, reliability, accuracy, or uninterrupted operation.
Service interruptions may occur due to:
- Force majeure events (e.g., natural disasters, war)
- Technical failures
- Regulatory changes
- Maintenance or updates
OKX is not liable for data loss, downtime, or related damages caused by such disruptions.
No Liability for Indirect Damages
To the fullest extent permitted by law, OKX shall not be liable for any direct, indirect, consequential, punitive, or special damages arising from your use or inability to use the Service. This includes:
- Loss of profits or data
- Business interruption
- Computer malfunction
- Privacy breaches
- Financial losses
This limitation applies even if OKX has been advised of the potential for such damages.
Right to Modify or Terminate
OKX may change, interrupt, or discontinue all or part of the Service at any time without notice. Users assume all risks and liabilities associated with such changes.

Roles and Obligations
You act as a data processor; OKX is the data controller. You must:
- Process data only as instructed by OKX.
- Implement robust technical and organizational security measures.
- Ensure compliance by your personnel.
- Avoid changes that increase risk of unauthorized data access unless legally required.
Both parties warrant full compliance with data protection obligations.
Intellectual Property Rights
All intellectual property related to the Service—including APIs, underlying technology, databases, trade secrets, and derived content—is exclusively owned by OKX.
Your use of the Service grants no ownership rights. Any applications developed using OKX’s IP remain the property of OKX, which may independently seek legal protection for such developments.
You may not use, transfer, or commercialize OKX’s intellectual property without prior written consent. Conversely, OKX is granted a royalty-free, non-exclusive license to use your logo for marketing purposes to indicate your use of the Service—provided you have full rights to grant such permission.
You are prohibited from using OKX’s trademarks or branding in any context.
Termination
OKX may terminate this Agreement or suspend Service provision immediately if:
- You breach any term and fail to cure it within three (3) days of notice.
- A force majeure event occurs.
- You cease business operations or become insolvent.
Termination does not affect accrued rights or obligations under this Agreement.
Amendments
OKX reserves the right to update this Agreement at any time. Continued use of the Service after changes are published constitutes acceptance of those changes. If you do not agree with revisions, you must stop using the API.
Governing Law and Dispute Resolution
Applicable Law
This Agreement is governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.
Arbitration Process
All disputes arising from this Agreement shall be resolved through binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its current rules.

- Seat: Hong Kong
- Language: English
- Number of arbitrators: One (1), jointly appointed by both parties
- If no agreement within two months, HKIAC will appoint the arbitrator
- Awards are final and enforceable in competent courts
Miscellaneous Provisions
Severability
If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary. If modification isn’t possible, it will be severed without affecting the rest of the Agreement.
Waiver
No delay or failure to enforce a right constitutes a waiver. Partial exercise of rights does not prevent further enforcement.
Assignment
You may not assign this Agreement without OKX’s prior written consent. OKX may transfer its rights or obligations for operational reasons without user approval.
No Partnership
Nothing in this Agreement creates an employment, agency, contractor, or partnership relationship. Neither party may bind the other without explicit written authorization.
